Submitting a form does not guarantee that GrigCinema LLC or any Client will provide services, accept a project, schedule an appointment, or enter into a business relationship.
6. SMS TERMS
By opting in to receive text messages from GrigCinema LLC, you agree to receive SMS messages related to your inquiry, appointment scheduling, appointment reminders, confirmations, customer support, service updates, and, if separately selected, marketing or promotional messages related to GrigCinema LLC services.
Message frequency may vary. Message and data rates may apply.

Complying with applicable laws and advertising rules
Complying with privacy, SMS, email, telemarketing, and consent requirements
Using leads and customer data lawfully
Honoring opt-out requests
Maintaining proper business licensing where required
Paying invoices and fees according to agreed terms
GrigCinema LLC is not responsible for a Client’s unlawful, deceptive, or non-compliant use of leads, customer data, communications, or advertising materials after delivery.
9. PAYMENTS AND BILLING
Payment terms are governed by the applicable proposal, invoice, service agreement, or written contract.
Unless otherwise stated in writing:
Fees are due according to the invoice or agreement
Late payments may delay project timelines or service delivery
Deposits, retainers, and setup fees may be non-refundable
Advertising spend, software fees, platform fees, and third-party costs may be separate from GrigCinema service fees
Client failure to provide required access, feedback, or materials does not automatically pause payment obligations
10. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, GrigCinema LLC retains ownership of its internal systems, strategy frameworks, templates, processes, concepts, workflows, copy structures, campaign structures, and pre-existing intellectual property.
Final deliverables created specifically for a Client may be licensed or transferred according to the written service agreement.
Clients retain ownership of materials they provide, including logos, brand assets, footage, images, product information, and company materials.
GrigCinema LLC may use completed work for portfolio, advertising, case study, and promotional purposes unless confidentiality terms prohibit such use.
11. THIRD-PARTY PLATFORMS
GrigCinema LLC may use third-party platforms to provide services, including but not limited to:
Meta
YouTube
GoHighLevel
CRM platforms
Payment processors
File storage platforms
Analytics tools
Scheduling tools
SMS and email communication providers
These platforms are governed by their own terms, policies, pricing, rules, and technical limitations.
GrigCinema LLC is not responsible for outages, disapprovals, account restrictions, policy changes, billing changes, tracking errors, delivery failures, or service interruptions caused by third-party platforms.
12. ADVERTISING RESULTS
GrigCinema LLC may provide advertising strategy, creative services, campaign management, lead generation support, funnel strategy, and related marketing services.
However, GrigCinema LLC does not guarantee specific results, revenue, profitability, lead volume, cost per lead, booked appointments, sales, approvals, platform performance, or business outcomes unless specifically stated in a signed written agreement.
Advertising performance may vary based on market conditions, offer strength, budget, competition, website experience, client follow-up, sales process, seasonality, platform behavior, and other factors outside of GrigCinema’s control.
13. DISCLAIMERS
Our website, services, content, and communications are provided on an “as available” basis.
GrigCinema LLC makes no warranties that:
The website will be uninterrupted or error-free
Campaigns will produce specific outcomes
Third-party platforms will approve or maintain ads
Tracking systems will always be accurate
SMS, email, or phone communications will always be delivered
Leads will convert into customers
Services will be suitable for every business or use case
To the fullest extent permitted by law, GrigCinema LLC disclaims all warranties, express or implied.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, GrigCinema LLC shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of revenue, loss of profits, loss of data, loss of business opportunity, advertising account restrictions, campaign disapprovals, platform outages, or third-party service failures.
GrigCinema LLC’s total liability for any claim shall not exceed the amount paid by the Client to GrigCinema LLC for the specific service giving rise to the claim, unless otherwise required by law or stated in a signed written agreement.
15. INDEMNIFICATION
You agree to indemnify and hold harmless GrigCinema LLC, its owners, employees, contractors, vendors, and partners from any claims, damages, losses, liabilities, costs, or expenses arising from:
Your use of our website or services
Your violation of these Terms
Your violation of applicable law
Your misuse of leads, data, advertising materials, or communications
Your infringement of third-party rights
Your failure to obtain proper consent
Your unlawful or deceptive business practices
